3. Eligibility & User Obligations

• Comply with all applicable telecom regulations, including TRAI guidelines, WhatsApp Business Policy, DLT (Distributed Ledger Technology) registration requirements, and data protection laws
• Not use our services to send spam, unsolicited messages, misleading communications, or any content that violates applicable laws
• Not attempt to reverse-engineer, copy, or exploit any part of our technology or platform
• Not engage in any activity that disrupts or interferes with our services or the experience of other users
• Promptly notify us of any unauthorized access to your account or any suspected security breach

Any violation of these obligations may result in immediate suspension or termination of services without refund.

4. Account Registration & Access

Certain services require you to register for an account. When registering, you agree to provide accurate, complete, and current information. You are solely responsible for:

• Cloud Service Providers – Hosting, data storage, and infrastructure services
• API Gateway Providers – Connectivity and integration services

While we work to maintain reliable service, we are not responsible for downtime, delivery failures, policy changes, or service disruptions caused by these third-party platforms. Changes in Meta's WhatsApp Business Policy, TRAI regulations, or telecom operator policies may affect our services, and we are not liable for any resulting impact on your operations.

7. Intellectual Property

All content, software, technology, branding, trademarks, logos, and materials available on our website and platform are the exclusive intellectual property of Unique Digital Outreach Private Limited or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to access and use our platform solely for your business purposes as permitted under these Terms. You may not:

8. Limitation of Liability

• Loss of profits, revenue, business opportunities, or data
• Service interruptions, delays, or failures beyond our reasonable control
• Losses arising from your reliance on third-party platforms or integrations
• Any actions taken by regulatory or government authorities that affect service delivery

Our total aggregate liability for any claims arising out of or related to our services shall not exceed the amount paid by you for the specific service giving rise to the claim in the three months preceding the event.

Our services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the fitness of our services for any particular purpose.

9. Force Majeure

12. Dispute Resolution

If the dispute cannot be resolved within 30 days of written notice, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Gurugram, Haryana, and proceedings shall be conducted in English.

13. Governing Law & Jurisdiction

These Terms & Conditions are governed by and construed in accordance with the laws of India. Subject to the dispute resolution clause above, the courts of Gurugram, Haryana shall have exclusive jurisdiction over any disputes arising out of or relating to these Terms or your use of our services.
